No ownership rights to the Services, proprietary algorithms, or underlying technology are transferred to you. All intellectual property rights, including copyrights, trademarks, and patents, remain the exclusive property of XINRUIHENG or its licensors.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without prior notice. Such modifications may include updates to optimize ad delivery systems, adjust user acquisition strategies, or comply with regulatory requirements. You acknowledge that your continued use of the Services after such changes constitutes acceptance of the updated Terms.

2. Data Privacy and Usage

Your use of the Services is subject to our Privacy Policy, which details how we collect, process, and share data to enhance advertising performance and user acquisition outcomes. By using the Services, you consent to the collection of campaign data, including user demographics, click-through rates, conversion metrics, and device identifiers, to refine ad targeting and improve campaign efficiency.

We employ tracking technologies such as cookies, SDKs, and device fingerprinting to analyze user behavior and deliver personalized advertisements. Specific details are outlined in our Cookie Policy. While you may adjust browser or device settings to limit tracking, certain features of the Services may become unavailable or less effective.

3. Usage Restrictions



In connection with your use of the Services, you agree not to:

Violate Applicable Laws: Engage in activities that breach advertising standards, data privacy regulations (e.g., Hong Kong’s Personal Data (Privacy) Ordinance), or intellectual property laws in any jurisdiction.

Tamper with Infrastructure: Reverse-engineer, decompile, or disrupt the Services’ technical systems, including ad delivery networks or user acquisition algorithms.

Misuse Data: Employ unauthorized automated tools to scrape data, manipulate campaign metrics, or collect personal information without user consent.

Impersonation: Falsely represent affiliations with third parties or XINRUIHENG to mislead users or damage our reputation.

Unauthorized Resale: Monetize or resell ad inventory or user acquisition tools without prior written authorization.

4. Intellectual Property Rights

All content, materials, trademarks, and proprietary technology integrated into the Services, including but not limited to ad delivery algorithms, user acquisition frameworks, and campaign analytics tools (collectively, “Service Content”), are the exclusive property of HONGKONG XINRUIHENG CO., LIMITED (“XINRUIHENG”) or its licensors. You are expressly prohibited from reproducing, modifying, distributing, or creating derivative works based on the Service Content without prior written authorization from XINRUIHENG.

To report suspected intellectual property infringement, you must submit a detailed notice containing:

Identification of the Protected Work: A clear description of the copyrighted material, trademark, or other intellectual property allegedly infringed.

Location of Infringement: Specific references to where the infringing material appears within the Services (e.g., ad campaign URLs, user acquisition dashboards).

Contact Information: Your full name, physical address, email address, and telephone number.

Statement of Good Faith: A declaration that you believe the disputed use is unauthorized by the rights holder, its agent, or applicable law.

Accuracy Declaration: A statement, made under penalty of perjury, confirming the accuracy of the information provided.

XINRUIHENG reserves the right to remove or disable access to allegedly infringing material pending investigation.

5. Limitation of Liability

To the maximum extent permitted under Hong Kong law, XINRUIHENG, its affiliates, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages (including but not limited to lost profits, data corruption, reputational harm, or business interruption) arising from:

Your access to or use of the Services;

Inaccuracies in campaign performance metrics (e.g., user acquisition rates, ad revenue calculations);

Third-party actions or content, including fraudulent ads or unauthorized data scraping.

The Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. XINRUIHENG disclaims responsibility for technical disruptions, data inaccuracies, or outcomes influenced by external factors such as platform algorithm updates, market competition, or user behavior. You acknowledge that advertising monetization and user acquisition involve inherent risks and agree to assume full responsibility for campaign results.

6. Indemnification Obligations

You agree to indemnify, defend, and hold harmless XINRUIHENG and its representatives from all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) related to:

Breach of Terms: Violations of these Terms, including unauthorized resale of ad inventory or misuse of user data.

Third-Party Claims: Allegations of intellectual property infringement, defamation, or privacy violations arising from your campaigns.

Regulatory Actions: Penalties or fines imposed due to non-compliance with advertising standards, data protection laws, or anti-fraud regulations.

This indemnification obligation remains effective indefinitely, even after termination of your access to the Services.

7. Third-Party Links and Services

The Services may incorporate tools, APIs, or partnerships with third-party platforms, such as ad networks, data analytics providers, or social media channels. XINRUIHENG does not control, endorse, or assume liability for the accuracy, legality, or security practices of third-party services. You are solely responsible for:

Reviewing and complying with third-party terms of service and privacy policies;

Ensuring that integrated third-party tools align with applicable laws (e.g., GDPR, Hong Kong Privacy Ordinance).

8. Termination and Suspension

XINRUIHENG reserves the right to suspend or terminate your access to the Services immediately, without prior notice, for material breaches of these Terms, including but not limited to:

Fraudulent Activities: Engaging in click fraud,fake traffic generation, or ad stacking to manipulate revenue.

Illegal Content: Promoting prohibited goods (e.g., narcotics, counterfeit products) or services (e.g., unlicensed gambling).

Persistent Non-Compliance: Repeated failure to address copyright infringement notices or data privacy violations.

Upon termination, all licenses granted under these Terms cease immediately. You must promptly:

Halt all use of the Services;

Delete cached or stored Service Content;

Settle any outstanding fees or liabilities.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, excluding its conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively by the courts of Hong Kong. You irrevocably submit to the jurisdiction of these courts and waive any objections to venue or convenience.

10. Amendments to Terms

XINRUIHENG may update these Terms periodically to reflect changes in business practices, regulatory requirements, or technological advancements. Revised Terms become effective immediately upon publication on our website. Your continued use of the Services after such publication constitutes binding acceptance of the amended Terms. 11. Compliance with Hong Kong Laws

As a Hong Kong-registered entity, XINRUIHENG strictly adheres to local regulations, including:

Personal Data (Privacy) Ordinance (Cap. 486): Governing the collection, storage, and processing of user data.

Trade Descriptions Ordinance (Cap. 362): Prohibiting false or misleading advertising claims.

Anti-Money Laundering Ordinance (Cap. 615): Mitigating risks associated with financial fraud.

You agree to comply with all applicable laws and regulations in your use of the Services. Violations may result in immediate termination of access and reporting to relevant authorities.

12. Prohibited Activities

In addition to Section 3 restrictions, you are expressly prohibited from using the Services to:

Promote Unregulated Financial Products: Including cryptocurrency schemes lacking proper licensing or high-risk investment platforms.

Target Vulnerable Groups: Exploiting minors, elderly individuals, or persons with disabilities through deceptive ad creatives or predatory pricing.

Distribute Malware: Embedding malicious code, spyware, or phishing links within ad campaigns or landing pages.

Circumvent Platform Policies: Using cloaking techniques or disguised redirects to bypass ad review processes.

13. User-Generated Content

If you submit advertising creatives, targeting parameters, or campaign metadata (“User Materials”) to the Services, you retain ownership of intellectual property rights. However, by submitting User Materials, you grant XINRUIHENG a non-exclusive, royalty-free, worldwide license to:

Store, reproduce, and modify User Materials for technical compatibility;

Display and distribute User Materials across partnered platforms and ad inventories;

Analyze performance data to optimize future campaigns.

You warrant that User Materials:

Do not violate third-party rights (e.g., copyrights, trademarks, publicity rights);

Comply with all applicable laws and industry standards (e.g., truth-in-advertising principles);

Contain no harmful code or deceptive practices (e.g., fake “close” buttons in ads).

XINRUIHENG reserves the right to reject, remove, or edit User Materials that breach these Terms or harm platform integrity.

14. Advertising Transparency

The Services may display third-party advertisements, sponsored content, or promotional offers. For example:

In-App Ad Placements: Partner applications may feature dynamically served ads based on user behavior or geographic location.

Analytics Dashboards: Our tools may include recommendations for complementary services (e.g., A/B testing tools).

XINRUIHENG does not verify the accuracy, legality, or quality of third-party ads. Interactions with advertisers (e.g., purchases, data sharing) are solely your responsibility. Participation in promotions or beta programs hosted through the Services requires adherence to specific rules disclosed at the time of enrollment.
